Compano Terms of Service

1. Service Overview
Compano.AI is an online chat service (the “Service” or “System”) provided by Compano.AI, Inc. (“Compano.AI,” “we,” or “us”). The terms “you” and “user” refer to the individual or entity utilizing the service.
2. Agreement to Terms
These terms, alongside the Privacy Policy, govern your access and use of the Compano.AI website (the “Site”) and the Service. By using the Service, you acknowledge that it is your responsibility to stay updated with the latest terms. We will notify users of any changes via email or an in-app alert. If you disagree with the updated terms, you must discontinue use of the Service immediately.
By using the Site, you agree to abide by all terms. References to “you” in the Agreement apply to both you and any third party on whose behalf you use the Service, holding both parties responsible.
Compano.AI reserves the right to modify the Site, Service, or Agreement at any time, with changes taking effect immediately upon posting. Your continued use after modifications implies your acceptance of the updated terms, provided you were notified as outlined above.
3. Usage of the Site and Service
The Service is offered solely for personal use. Accessing the Service requires registration and adherence to the terms outlined in this agreement. Users must not engage in illegal activities or interfere with the proper functioning of the Site or Service.
The Service is provided on an “as is” and “as available” basis without any guarantees. Incorrect results may occasionally be produced, and Compano.AI assumes no liability for the accuracy of the Output, which you use at your own risk. A valid and accurate registration is required to create an account, and Compano.AI reserves the right to refuse or terminate account registration without prior notice.
4. User Representations and Commitments
By using the Service or Site, you agree to the following: you accept and comply with the terms of this Agreement and Privacy Policy, and you have the authority to bind any third parties involved. You must be of legal age to enter into a binding contract in your jurisdiction. You must not impersonate others or mislead about your relationship with individuals or companies. Prohibited activities include, but are not limited to, using the Service or Site to:
• Threaten, harass, deceive, or defame others
• Conduct commercial activities like contests or advertising without permission
• Introduce malicious software
• Scrape or mine data from the Site
• Reverse engineer or replicate the platform
You are prohibited from using the Service or Output to train or improve other AI services or platforms. Compano.AI will not be responsible for any misuse of the Service, and users are liable for any harm caused by violations of these terms.
5. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You must ensure no one else uses your account without permission and must not allow third parties to use the Service for unlawful purposes. Compano.AI reserves the right to investigate and take action if necessary to ensure compliance, including cooperating with legal authorities.
6. Restricted Activities
Only human users are permitted to access the Service. Automated registration or usage is prohibited. You are not allowed to modify or adapt the Site or Service to create a false impression of affiliation with Compano.AI. Accessing the Service must only be done through the authorized interface provided. The Service is not intended as a long-term data storage solution, so using it for backup or archiving is not allowed.
7. Ownership of Intellectual Property
Compano.AI retains full ownership of all aspects of the Site and Service, including content, design, functionality, and related intellectual property. The trademarks, logos, and branding on the Site or Service belong to Compano.AI.
By using the Service, you grant Compano.AI a limited, non-exclusive, worldwide, royalty-free license to use, modify, and distribute any data or information you provide (“Input”) or that is generated by the Service (“Output”). This license is granted solely for purposes necessary to the operation, improvement, and legal compliance of the Service. You retain any intellectual property rights over your Input and Output where applicable.
8. External Links and Third-Party Advertisements
The Site may contain links to external websites or display third-party advertisements. These links are provided solely for your convenience and do not imply endorsement of the external sites. Any third-party content, services, or products are used at your own risk. Compano.AI is not liable for damages resulting from your interactions with these external sites or advertisements.
9. Data Handling and GDPR Compliance
We take reasonable steps to protect the integrity of your data. However, you acknowledge that data transmission may be unencrypted and may pass through third-party networks. We recommend avoiding submitting personally identifiable information unless necessary.
If you fall under the General Data Protection Regulation (GDPR), you consent to Compano.AI’s handling of your data as outlined in this agreement and the Privacy Policy. If your use involves the data of individuals outside the United States, you are responsible for ensuring compliance with GDPR and other relevant international data protection laws.
Compano.AI will process data in accordance with legal obligations and service operations, including troubleshooting and system enhancements. If you are located in the European Union, Compano.AI complies with GDPR data transfer mechanisms, such as Standard Contractual Clauses, to protect cross-border data transmissions. You retain all GDPR rights, including access, rectification, and erasure of your data.
10. Indemnification
You agree to indemnify, defend, and hold harmless Compano.AI and its affiliates from any claims, losses, liabilities, expenses, or damages (including legal fees) related to your use of the Site, Service, or Output. This includes claims arising from your violation of this agreement, misuse of the Service, or any breach of applicable laws. Compano.AI reserves the right to control any defense related to indemnifiable claims at your expense. This obligation continues even after termination of the Agreement.
11. Assignment
Compano.AI may assign this agreement at its discretion, in whole or in part. You may not assign your rights or delegate any obligations without prior written consent from Compano.AI. Any unauthorized assignment will be considered void.
12. Billing and Payment
Compano.AI offers free and paid subscription options. Subscription fees are billed at the start of each cycle and will renew unless canceled before the renewal date. Cancellation of your subscription must be done via the account settings. All payments are non-refundable. Users will receive an invoice for each charge, and all payments are non-refundable unless otherwise specified by Compano.AI.
Compano.AI reserves the right to adjust billing schedules if issues arise with your payment method. Price changes will take effect at the commencement of your next renewal cycle. Payment must be made in USD, and you are responsible for applicable taxes. Failure to pay may result in account suspension or termination.
13. Cancellation and Account Deletion
You may cancel your account at any time through your account settings. Upon cancellation, all data and content associated with your account will be permanently deleted. Compano.AI does not offer refunds for any unused time after cancellation. Nonpayment will result in automatic cancellation of your account.
14. Disclaimer
The Service is provided “as is” and “with all faults.” You acknowledge that your use of the System, Input, and Output is at your own risk. Compano.AI expressly disclaims all warranties, including implied warranties of merchantability and fitness for a particular purpose. The Service may contain errors, and Compano.AI does not guarantee accuracy or fitness for any specific use.
15. Limitation of Liability
To the fullest extent permitted by law, Compano.AI shall not be held liable for any indirect, incidental, special, punitive, or consequential damages, including loss of business, reputation, income, or profits. Neither party will be responsible for damages arising from the other party’s breach of this Agreement, even if they were advised of the possibility of such damages.
Compano.AI’s liability is limited to direct damages arising from its obligations under this Agreement and will not extend beyond those direct damages attributable to the company’s willful misconduct or gross negligence.
16. Applicable Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction chosen by Compano.AI, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be resolved in the courts of the chosen jurisdiction, unless otherwise required by mandatory local consumer protection laws applicable to you. In such cases, local consumer protection laws shall take precedence over any conflicting terms in this Agreement.
17. Conflict Resolution
In the event of a dispute arising under this Agreement, the parties agree to attempt to resolve the matter through good-faith negotiations. If a resolution cannot be reached, the parties may seek mediation or other alternative dispute resolution methods before pursuing legal action.
Mediation will be conducted by a mutually agreed-upon mediator. If mediation fails to resolve the dispute, either party may pursue legal action in the jurisdiction specified in this Agreement. Any costs related to mediation will be shared equally by both parties.
18. Force Majeure
Compano.AI shall not be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, labor strikes, governmental actions, internet or communication outages, or any other event beyond the reasonable control of Compano.AI. In such cases, Compano.AI’s obligations under this Agreement will be suspended for the duration of the event causing the delay, and the company will make reasonable efforts to resume normal service as soon as possible.
